California Seller Permit Closeout After an Asset Sale

Selling the assets does not finish your seller permit responsibilities. San Jose Business Brokers Ltd connects owners with a valuation partner while their CPA handles the final sales tax reporting.

Identify which registered business is ending its activity

CDTFA Publication 74 describes account closeout when a business stops operating, sells or changes ownership. Start with the seller entity, the transaction structure and the date taxable activity actually ends.

Do not assume that a stock transfer and a sale of operating assets have identical account consequences. Confirm which registrations continue and which must close before sending notices.

Use CDTFA Online Services or the applicable Notice of Closeout process when required. If you use CDTFA 65, confirm the current instructions and provide the business and closure details requested.

Account for what happens to equipment and inventory

The final return is not limited to the last month of ordinary customer sales. Furniture, fixtures, equipment and retained inventory can create separate sales or use tax questions.

Ask your CPA to review the purchase price allocation and identify which transferred assets are taxable, exempt or otherwise treated differently. Do not label the entire transaction exempt because you are selling the company.

If you keep inventory for personal use or another purpose, tell the CPA. The treatment can differ from stock transferred for resale with appropriate documentation.

Keep closeout separate from clearance

A tax clearance request protects against certain successor liability concerns. Closing a permit records the end or change of taxable activity. Neither step should be assumed to replace the other.

Filing a final return also does not erase unpaid liabilities. Reconcile outstanding returns, payments and notices before you decide how much of the sale proceeds is available to distribute.

Build the handoff into the closing file

Agree who keeps the seller records and who can answer agency questions after the buyer takes over. A buyer operating the same premises does not mean it controls your old account obligations.

CDTFA Publication 74 and the California Taxes closing business guidance describe the relevant account steps. Ask your escrow team how their documentation coordinates with your final returns.

This is not tax or legal advice. Confirm the required filings and asset tax treatment with your CPA or attorney for your particular sale.
